The announcement
Category 2 Announcement – Acquisition of Rigel Park Finbond Group Limited (Incorporated in the Republic of South Africa) (Registration number: 2001/015761/06) Share code: FGL ISIN: ZAE000138095 Main Board – General Segment (“Finbond” or “the Company”) CATEGORY 2 ANNOUNCEMENT – ACQUISITION OF RIGEL PARK 1. Introduction 1.1 Shareholders are advised that Finbond, through its wholly owned subsidiary Finbond Group South Africa (Pty) Ltd ("the Purchaser"), has on 30 October 2026 (“Signature Date”) concluded an agreement (“the Agreement”) with Inan Props (Pty) Ltd (“the Seller") in terms of which the Purchaser will acquire, as a going concern, the letting enterprise conducted by the Seller together with the immoveable property (including improvements thereon) on which the letting enterprise is conducted, being Portion 1 of Erf 291, Erasmusrand, City of Tshwane Metropolitan Municipality, Gauteng Province and Portion 92 of the Farm Waterkloof No 378, Registration Division JR, Gauteng Province (collectively “the Property” or “Rigel Park”) for a cash consideration of R55 500 000 (“Purchase Price”) ("the Acquisition"). 1.2 In terms of the Agreement, the parties have undertaken to sign a formal deed of sale within 30 days of the Signature Date. 1.3 The beneficial owner of the Seller is Zungu Investments (Pty) Ltd, which is ultimately held by Mr Sandile Zungu. 2. Rationale for the Acquisition 2.1 Finbond Mutual Bank, a subsidiary of Finbond, currently leases one of the two buildings in Rigel Park. The Acquisition will allow the Finbond group (“the Group”) to own its premises, in line with the practice of most banks and financial institutions, rather than continue paying rent to an external landlord. 2.2 The board believes the Acquisition is in the best interests of shareholders given that: 2.2.1 the Purchase Price is in line with an independent valuation of the Property and is well below comparable office buildings in the area; 2.2.2 the Property is 97.6% let to a diversified tenant base and is expected to provide the Group with an additional stable, recurring rental income stream; 2.2.3 ownership secures the Group's long-term occupation of its premises, gives it room to expand, and allows Rigel Park to be managed in-house; and 2.2.4 the Property is expected to grow in value over time. 3. Purchase Price 3.1 The Purchase Price is payable by the Purchaser to the Seller in cash on registration of transfer of the Property into the Purchaser's name (“Transfer Date”). 3.2 As both parties are registered Value-Added Tax (“VAT”) vendors and the Property is sold as a going concern, the Purchase Price is zero-rated for VAT purposes in terms of section 11(1)(e) of the Value-Added Tax Act 89 of 1991. 4. Conditions precedent The Agreement is not subject to any conditions precedent. 5. Effective date 5.1 The effective date of the Agreement is the Signature Date. 5.2 Risks and benefits in and to the Property, including the right to receive rentals, will pass to the Purchaser on the Transfer Date. 6. Valuation and net income attributable to the Property 6.1 The independent valuation of the Property is R55 000 000 as at 1 August 2026. 6.2 The net income of the Property for the 12 months ended 30 June 2026 was R5 949 693, extracted from the Seller's management information. 7. Other significant terms 7.1 The Property is sold voetstoots. 7.2 The Agreement further contains warranties that are appropriate for transactions of this nature. 8. Categorisation of the Acquisition The Acquisition is a Category 2 transaction in terms of Section 8 of the JSE Listings Requirements and does not require the approval of Finbond shareholders.
